Barbados Introduces New Beneficial Ownership Transparency Requirements
The Beneficial Ownership Transparency and Register Act, 2026 (BOTR Act) came into effect on 1 September 2026, introducing new obligations for companies and other legal entities operating in Barbados.
The legislation aims to strengthen corporate transparency, enhance regulatory oversight, and support Barbados' compliance with international standards designed to combat money laundering, terrorist financing, and other financial crimes.
The information filed on the Beneficial Ownership Register is confidential and not available for public inspection.

Who Must Comply?
The BOTR Act applies to:
Companies incorporated or continued under the Companies Act, Cap. 308
Societies with Restricted Liability (SRLs)
Limited Partnerships
External Companies registered in Barbados
Other legal entities established under Barbados law

Who Is a Beneficial Owner?
A beneficial owner is generally an individual who:
Owns or controls 20% or more of an entity's shares, voting rights, partnership interests, or other ownership interests;
Exercises effective control over the management of the entity; or
Exercises control through contractual arrangements, shareholder agreements, veto rights, or the ability to appoint or remove directors or managers.
An individual who holds less than 20% may still be considered a beneficial owner, if that person has rights or influence to exercise ultimate control particularly in entities with shareholder agreements or joint ventures.
Information is also required for nominee arrangements relating to nominee directors and shareholders and the person on whose behalf they act.

Key Compliance Requirements
Initial Filing Deadlines
Existing Entities
Entities in existence before 1 September 2026 must file beneficial ownership information within three months of the Act coming into force.
New Entities
Entities formed within the first three months after commencement must file within one month of incorporation or registration.
Entities formed thereafter must provide beneficial ownership information as part of the incorporation or registration process.
Annual Confirmation
All entities must:
Submit an Annual Confirmation Form each year;
Confirm that beneficial ownership information remains accurate and up to date; and
File during the anniversary month of incorporation, organization, registration, or continuation.
Reporting Changes
Entities must notify the Beneficial Ownership Register within 14 days of any change involving:
Beneficial owners;
Nominee directors or nominee shareholders; or
Significant changes to the ownership or corporate structure of the entity.

Penalties for Non-Compliance
Failure to meet the requirements of the BOTR Act may result in:
Penalties of BDS $500 per day, up to BDS $10,000
Regulatory warnings and directives
Administrative penalties
Restrictions on business activities
Strike-off proceedings
Cancellation of registration

In addition, the CTSP is also responsible for verifying the beneficial ownership information and confirming the identity of beneficial owners.
